Terms & Conditions

By engaging the services of Elite Nest Construction Solutions ("Company," "we," "us," or "our"), whether through a verbal agreement, written contract, signed estimate, or commencement of work, you ("Client") agree to be bound by these Terms and Conditions in their entirety.

These Terms and Conditions constitute a legally binding agreement between Elite Nest Construction Solutions and the Client. If you do not agree to these terms, you must not engage our services. Elite Nest Construction Solutions reserves the right to modify these Terms and Conditions at any time. Updated terms will be made available upon request or via our website and shall apply to all new projects initiated after the date of the update.

These terms apply to all renovation, repair, installation, and cleaning services provided by Elite Nest Construction Solutions at any residential or commercial property location.

Elite Nest Construction Solutions provides apartment unit renovation and repair services, including but not limited to:

• Interior painting (walls, ceilings, trim, doors, baseboards)
• Carpet removal and replacement
• Bathtub and tile reglazing
• Interior door and window blind replacement
• Smoke detector installation and replacement
• Drywall patching, repair, and finishing
• Minor plumbing repairs (faucets, shower diverters, fixtures)
• Vanity, cabinet, and hardware repair and replacement
• Standard appliance removal and replacement
• General unit cleaning and turnover preparation

The specific scope of services for each project will be defined in the written estimate or project agreement provided to the Client prior to commencement of work. Elite Nest Construction Solutions does not perform structural engineering, electrical panel work, major plumbing system alterations, or services that require licensed trade-specific permits outside the scope agreed upon, unless separately contracted in writing.

We reserve the right to decline any project or service request at our sole discretion.

All quotes and estimates provided by Elite Nest Construction Solutions are based on information available at the time of assessment. Quotes are valid for 30 days from the date of issuance unless otherwise stated in writing.

A written quote represents our best estimate of the cost to complete the agreed scope of work. However, the final project cost may vary from the original quote in the following circumstances:

• The discovery of concealed damage, structural issues, or pre-existing conditions not visible during the initial site assessment
• Client-requested changes to the scope of work after the quote has been accepted
• Increases in material costs beyond our control that occur after the quote is issued
• Work required to meet code compliance that was not identified prior to commencement

Any changes to the original scope of work will be communicated to the Client in writing via a Change Order prior to additional work being performed. The Client's written or electronic approval of a Change Order constitutes agreement to the revised pricing.

Payment terms will be specified in each individual project agreement. Standard payment terms for Elite Nest Construction Solutions are as follows:

• Projects under $1,000: Full payment is due upon project completion.
• Projects $1,000–$5,000: A deposit of 50% is due prior to commencement of work. The remaining balance is due upon project completion.
• Projects over $5,000: A payment schedule will be outlined in the project agreement, typically structured as 30% deposit, milestone payments, and a final payment upon completion.

Elite Nest Construction Solutions accepts the following forms of payment: personal or business check, ACH bank transfer, and major credit cards. Checks should be made payable to Elite Nest Construction Solutions.

Invoices not paid within 30 days of the due date are subject to a late fee of 1.5% per month on the outstanding balance. Elite Nest Construction Solutions reserves the right to suspend or cease work on any project with an outstanding overdue balance until payment is received.

In the event that collection action becomes necessary, the Client agrees to be responsible for all reasonable attorney's fees and collection costs incurred by Elite Nest Construction Solutions.

Elite Nest Construction Solutions will provide the Client with an estimated project timeline at the time of quoting. All timelines are estimates only and are not guaranteed unless a specific completion deadline is expressly agreed upon in the written project agreement.

Project timelines may be affected by factors including but not limited to:

• Delays in material procurement or supply chain disruptions
• Discovery of concealed damage or unforeseen site conditions
• Client-requested scope changes or delays in Client approvals
• Weather conditions affecting exterior work
• Subcontractor scheduling
• Force majeure events

Elite Nest Construction Solutions will communicate any significant delays to the Client promptly and will make reasonable efforts to minimize disruption and maintain project momentum. We are not liable for any losses, lost rental income, or damages arising from project delays beyond our reasonable control.

To ensure the successful and timely completion of each project, the Client agrees to the following responsibilities:

• Access: Provide Elite Nest Construction Solutions with timely and unobstructed access to the project site during agreed working hours.
• Utilities: Ensure that water, electricity, and other necessary utilities are active and available at the project site throughout the duration of work.
• Unit Clearance: Ensure the project unit is reasonably clear of personal belongings, furniture, and valuables prior to commencement, unless otherwise agreed.
• Permits: Obtain any permits or authorizations required by local authorities for the agreed scope of work, unless Elite Nest Construction Solutions has expressly agreed in writing to obtain such permits on the Client's behalf.
• Timely Decisions: Provide timely responses, approvals, and decisions required to avoid delays in the project schedule.
• Accurate Information: Provide accurate information regarding the property, existing conditions, and any known hazards (e.g., lead paint, asbestos, mold).

Elite Nest Construction Solutions shall not be held responsible for delays or additional costs resulting from the Client's failure to fulfill these responsibilities.

Workmanship Warranty: Elite Nest Construction Solutions warrants that all work performed will be completed in a professional and workmanlike manner, consistent with industry standards. We provide a 90-day workmanship warranty on all labor from the date of project completion, unless a different warranty period is specified in the project agreement.

This warranty covers defects in workmanship and installation directly attributable to Elite Nest Construction Solutions. It does not cover:

• Normal wear and tear
• Damage caused by the Client, tenants, or third parties after project completion
• Issues resulting from pre-existing conditions not disclosed by the Client
• Manufacturer defects in materials or products (which are subject to the applicable manufacturer's warranty)
• Damage caused by water intrusion, flooding, fire, or other external events

Limitation of Liability: To the maximum extent permitted by applicable law, Elite Nest Construction Solutions' total liability for any claim arising out of or related to services provided shall not exceed the total amount paid by the Client for the specific project giving rise to the claim. Elite Nest Construction Solutions shall not be liable for any indirect, incidental, consequential, or punitive damages, including lost rental income or lost profits.

Elite Nest Construction Solutions carries general liability insurance. Documentation of coverage is available upon written request.

Either party may cancel a project prior to commencement by providing written notice to the other party. Cancellation terms are as follows:

• Cancellation more than 5 business days before scheduled start: Any deposit paid will be refunded in full, less any non-recoverable material costs already incurred.
• Cancellation within 5 business days of scheduled start: The Client forfeits any deposit paid. Elite Nest Construction Solutions reserves the right to invoice for materials already ordered or costs already incurred.
• Cancellation after work has commenced: The Client is responsible for payment of all work completed to date, all materials ordered or delivered, and a reasonable portion of the remaining project value to compensate for scheduling displacement.

Elite Nest Construction Solutions may terminate a project with written notice if the Client fails to fulfill payment obligations, fails to provide required site access, or engages in conduct that makes it impractical or unsafe to continue work. In such cases, the Client remains responsible for all work completed and costs incurred to the date of termination.

All cancellations and terminations must be communicated in writing to info@elitenestcs.com.

Elite Nest Construction Solutions is committed to resolving any disputes or concerns promptly and professionally. In the event of a dispute arising from services rendered, the following process applies:

1. Direct Resolution: The Client must first notify Elite Nest Construction Solutions in writing at info@elitenestcs.com, describing the nature of the dispute. We will respond within 5 business days and make good-faith efforts to resolve the matter.
2. Mediation: If the dispute cannot be resolved through direct communication within 30 days, either party may request non-binding mediation through a mutually agreed mediator in Washington County, Maryland.
3. Binding Arbitration: If mediation is unsuccessful, the parties agree to submit the dispute to binding arbitration in accordance with the rules of the American Arbitration Association, to be held in Washington County, Maryland. The decision of the arbitrator shall be final and binding.

Notwithstanding the above, either party may seek injunctive or other equitable relief in a court of competent jurisdiction where necessary to prevent irreparable harm.

These Terms and Conditions and any agreements arising from the use of Elite Nest Construction Solutions' services shall be governed by and construed in accordance with the laws of the State of Maryland, without regard to its conflict of law provisions.

Any legal proceedings not subject to the arbitration clause above shall be brought exclusively in the state or federal courts located in Washington County, Maryland, and both parties hereby consent to the personal jurisdiction of such courts.

If any provision of these Terms and Conditions is found to be unenforceable or invalid under applicable law, that provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms and Conditions, without affecting the validity and enforceability of the remaining provisions.
